Terms of Service

Article 1 (Application)
These Terms of Service define the conditions for using GramAgent (hereinafter referred to as "the Service"). By using the Service, users are deemed to have agreed to these Terms.
Article 2 (Registration)
Those wishing to use the Service shall apply for registration through the prescribed method, and registration is completed when approved by the operator. The operator may refuse registration if the applicant has provided false information, has previously violated these Terms, or is otherwise deemed inappropriate.
Article 3 (User ID and Password Management)
Users shall manage their user IDs and passwords for the Service at their own responsibility. Users may not transfer or lend their user ID or password to any third party under any circumstances. When a login is made with a user ID and password combination matching the registered information, it shall be deemed as use by the user who registered that user ID.
Article 4 (Prohibited Actions)
Users shall not engage in the following actions: violations of laws or public order, criminal activities, interference with the operation of the Service, infringement of intellectual property rights, privacy, or other rights of other users or third parties, unauthorized access attempts, generation of illegal or harmful content using AI, reverse engineering of the Service, or other actions deemed inappropriate by the operator.
Article 5 (Service Suspension)
The operator may suspend all or part of the Service without prior notice to users in the following cases: when performing maintenance or updates to the Service system, when the provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters, or when the operator determines that providing the Service is otherwise difficult.
Article 6 (Intellectual Property Rights)
Copyright in images and text generated by AI through the Service belongs to the user to the extent permitted by applicable laws. However, please note that AI-generated content may not be eligible for copyright protection under applicable laws. Intellectual property rights related to the Service's system, UI, logos, trademarks, etc. belong to the operator. Users shall use generated content at their own responsibility and take care not to infringe on the rights of third parties.
Article 7 (Subscriptions and Billing)
Paid plans are available as monthly and annual plans, with fees based on the amounts displayed on the Service. When a user selects a paid plan, payment is processed through Stripe. Monthly plans are automatically renewed each month, and annual plans are automatically renewed each year. Subscriptions will continue to renew unless cancelled by the user. Cancellation can be done at any time from the settings page, and upon cancellation, paid plan features remain available until the end of the current billing period. No prorated refunds are provided for mid-term cancellations of either monthly or annual plans.
Article 8 (Disclaimer and Limitation of Liability)
The operator does not warrant, either expressly or impliedly, that the Service is free from defects in fact or in law (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, and rights infringement). The operator bears no responsibility for the accuracy, legality, or appropriateness of content generated by AI. In cases where the operator is liable for damages to a user in connection with the use of the Service, such liability shall be limited to direct and actual ordinary damages, and the maximum amount of compensation shall not exceed the total usage fees paid by the user to the Service during the preceding 12 months. The operator shall not be liable for lost profits, indirect damages, special damages, or punitive damages.
Article 9 (Account Withdrawal)
Users may withdraw (delete their account) at any time by following the prescribed procedure on the settings page. Upon withdrawal, the user's personal data and generation history will be deleted within a reasonable period. Users on paid plans must cancel their subscription before withdrawing. Please note that account recovery is not possible after withdrawal.
Article 10 (Usage Restrictions and Account Suspension)
The operator may restrict usage of the Service or suspend a user's account without prior notice if the user falls under any of the following: violation of these Terms, discovery of false information in registration details, unauthorized access or other fraudulent activity, or any other case where the operator deems continued use inappropriate. The operator shall bear no liability for any usage restrictions or account suspensions.
Article 11 (Changes to Terms)
The operator may change these Terms when deemed necessary. When changing the Terms, the operator will provide advance notice of the changes and effective date on the Service. For significant changes that are disadvantageous to users, notice will be given by email or through the Service at least 30 days before the effective date. If a user continues to use the Service after the changes take effect, they shall be deemed to have agreed to the revised Terms.
Article 12 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. In the event of any dispute arising in connection with the Service, the Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance.
